Regarding the Facebook IPO - Newbie Question(Excuse me if Stupid)?
When the Facebook went IPO, it was called a 100 Billion IPO. It supposedly raised 12 Billion with shares being priced @ ~36 USD. I understand that it is called a 100 billion IPO rather than 12 billion because valuation after the IPO is 100 billion.
Does this mean that the promoters shares was valued at 100 billion and that shares worth 12 billion were put in the market for the public to buy ? How much of this 12 billion is likely to be infused as capital for current and future endevaours ? Why will it be invested into the company, it seems like the promoters are cashing out? So whats the point of the IPO ? Much thanks for your clarifications. Ads |

You can read the asnwers to all those questions in the S-1.
1) Most of the company was retained by Zuckerberg and other insiders, not promoters. 2) I think that most of the IPO money raised was going to be used to pay taxes and then micellaneous unspecified things. FB's problems are not about operating capital or cash needs for exapsnion and that was not what the IPO was about. 3) The point of the IPo was to mark everyone's stake to market and was nearly forced as FB was drawing near the 500 investor rule in which they were going to be required to subimt financials. If you gotta submit financials anyway, may as well take advantage of capital markets. Unlike many other equity offerings this one was not going to boost productivity at FB. Ads |
