No your can't convert flash template to a wordpress theme, there would be very little in common, including the possibility of the Flash template using vector graphics while wordpress uses bitmaps.

You normally have to be pretty competent in html, css and php coding to put together a wordpress theme, there are theme building kits with a smaller range of capabilities, you might find one offered in a member authored WSO at warriorforum.com

Well if You like to build Your own template, just follow this:
find a template that is similar to the template that You want to make and then just rebuild css.
