If they both have Ethernet adaptor you can connect them together with a crossover cable. Then you set the first one to share it's internet connection. If you have more than two PC's then you will need a switch and patch cables instead of the crossover.

Use the internet connection sharing that is built into windows.
computer 1 will need an adapter for the internet and then a seperate wireless adapter for the internet to get to computer 2. computer 2 will need a wireless adapter as well. In the adapter properties for computer 1 (the one receiving the internet) select share internet connection. the other adapter will then pick it up and send the internet to the second computer. you may have to put in static ips for the second computer though.

On most modems there will be an ethernet and usb adapter. Your modem should have given you cables for both. The modem also should have given you the software so you can use the usb port on the modem. With that being said on the main computer go through the setup for installing the usb drivers to utilize the usb internet connection on the modem. Once installation is complete you should be able to access the internet via the usb cable with pc1. Now your going to want to to connect a crossover ethernet cable from pc1 to pc2. If you use a regular cable it won't work due to collisions. At that point its just a matter of enabling Internet connection sharing utilizing pc1 and once enabled pc2 should be able to get internet.

Summary pc1 turns into a DHCP server/router utilizing internet connection sharing and the usb internet port on the modem.
