Yes there are many ways to do this task.

When you are connected to INTERNET using your USB Modem you have to enable ICS Internet Connection Sharing service in Properties of that USB Internet Connection.

Now at 2nd place you have open the properties of LAN Network Connection. In your Laptop you have to configure the following IP Address.

IP ==> 192.168.1.1
Subnet Mask ==> 255.255.255.0
Gateway ==>> Leave it Blank

Now on 3rd place you have to configure the following IP Address in LAN Network Connection properties of your PC.

IP ==> 192.168.1.2
Subnet Mask ==> 255.255.255.0
Gateway ==> 192.168.1.1 <<< Same as IP of Laptop LAN.

Now you are done ...

I forget to tell about DNS in LAN Network Connections on both side.
IF you know the DNS then Configure that DNS in both LAN. If you don't know DNS. Then there is another thing you have to do.

Right click on your My Computer ==> Properties

Now there in Properties you will find a TAB named " Computer Name "

There you have to Change the Workgroup same on both systems... any word you can place there like, WORKGROUP(default) MSHOME(default) WIFIGUY(ur own selected)... then reboot your both systems and you are done.

Now you have to use a Cross Etharnet Cable with RJ45 PIN to connect both LANs...

Hope this will help you to solve your problem.

Thanks.
