I don't know much about privacy settings because I rarely use my Twitter, but by default, they will see it.

Although, I'm almost thinking (NOT FOR SURE ON THIS PART) that, since the privacy settings control how people see you, mentions may be able to temporarily override the settings for the tweet with the mention.
